This Copyright Assignment Agreement ("Agreement") is entered into on [Date], by and between:

Together, the "Parties."
1. Assignment of Rights
The Assignor hereby assigns, transfers, and conveys to the Assignee all rights, title, and interest in the copyrighted work(s) described in Exhibit A (the "Works"), including all rights of reproduction, distribution, performance, display, adaptation, and creation of derivative works.
2. Consideration
As consideration for this assignment, the Assignee shall pay the Assignor $[Amount], receipt of which is acknowledged.
Additional terms of payment (if any) are described in Exhibit B.
3. Representations and Warranties
The Assignor represents and warrants that:
- a. The Assignor is the sole and exclusive owner of the Works.
- b. The Works are original and do not infringe any third-party rights.
- c. The Assignor has not previously assigned, licensed, or encumbered the rights in the Works.
4. Moral Rights (if applicable)
To the extent permitted by law, the Assignor waives and agrees not to enforce any moral rights in the Works. Where moral rights cannot be waived, the Assignor agrees not to assert them against the Assignee.
5. Further Assurances
The Assignor agrees to execute any additional documents reasonably necessary to perfect the Assignee's rights, including recordation of this Agreement with copyright offices or registries.
6. Indemnification
The Assignor shall indemnify and hold harmless the Assignee against any claims, damages, or expenses arising from a breach of the warranties in Section 3.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [State/Country].
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the Works and supersedes prior understandings. Amendments must be in writing and signed by both Parties.
